These Terms of Service (Terms) govern your access to and use of the PromptKing AI FinOps platform (Service) operated by PromptKing Inc., a Ontario Business Corporation registered in Ontario, Canada (Business Identification Number: 1001620459, registered May 24, 2026), operating under the trade name PromptKing AI FinOps (PromptKing Inc., PromptKing, we, us, or our), located at Ontario, Canada, Canada.
By creating an account, starting a free trial, or accessing the Service, you agree to these Terms on behalf of yourself and the organization you represent (Customer or you). If you do not agree, do not use the Service.

1. The Service
1.1 Description
PromptKing is a B2B AI FinOps platform providing seat-level AI spend tracking across Anthropic Claude, GitHub Copilot, Google Gemini, AWS Bedrock, and IBM Watsonx; rightsizing recommendations; executive reporting (CFO, COO, CRO reports); billing event alerts; and an AI FinOps Agent powered by Gemini 2.5 Flash.
1.2 Account Registration
You must provide accurate registration information. You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at info@promptking32.com if you suspect unauthorized access.
1.3 Authorized Users
The Customer may add authorized users within subscription plan limits. The Customer is responsible for all actions taken by authorized users.

2. Subscription Plans and Payment
2.1 Plans

A 14-day free trial is available on all plans. No credit card required to start.
2.2 Billing
Paid subscriptions are billed monthly in advance via Stripe. Annual billing is available at a 2-month discount. All prices are in USD unless stated otherwise. Applicable taxes including Canadian GST/HST are added to invoices.
2.3 Payment Failure
If payment fails, we provide a 7-day grace period. After the grace period, your account may be downgraded or suspended. Data is retained for 30 days after suspension before deletion.
2.4 Refunds
No refunds for partial months. For annual plans, refund requests for unused portions are considered within 30 days of annual payment if the Service has a material defect we cannot resolve.
2.5 Early Adopter Lifetime Deal
Customers who purchased a Lifetime Deal have perpetual access to features available at time of purchase. LTD holders are not subject to recurring fees for covered features.

3. Data Processing
3.1 Customer as Data Controller
You remain the data controller for all personal information and organizational data you bring into the Service.
3.2 PromptKing as Data Processor
PromptKing acts as a data processor when accessing your vendor accounts through the credentials you provide. We process data only to deliver the Service.
3.3 No Training on Customer Data
PromptKing does not use your AI usage data, spend data, vendor credentials, or organizational data to train any machine learning model. Your data is used exclusively to deliver the Service to you.
3.4 Data Processing Agreement
Enterprise customers may request a formal DPA at info@promptking32.com. Our standard DPA is at promptking32.com/legal/dpa.

4. Acceptable Use
You must not: violate any applicable law; access accounts belonging to other organizations; reverse engineer the Service; resell or sublicense without written consent; transmit malicious code; conduct denial of service attacks; provide false registration information; use the Service to develop a competing product without written consent.

5. Intellectual Property
All rights in the Service including software, algorithms, documentation, and brand assets remain with PromptKing. You retain all rights in your organizational data and grant PromptKing a limited license to process it to deliver the Service.
PromptKing may use anonymized, aggregated, de-identified data for product improvement and benchmarking. This data does not identify you or your organization.

6. Confidentiality
Each party agrees to hold the others Confidential Information in strict confidence and use it only to fulfill obligations under these Terms. We treat your AI spend data, vendor credentials, and organizational data as your Confidential Information.

7. Service Levels and Support
We target 99.9% uptime. Planned maintenance will be communicated at least 24 hours in advance.
- Starter: Community support via documentation - Pro: Email support, response within 2 business days - Enterprise: Dedicated support, response within 4 business hours
Rightsizing recommendations are derived from third-party vendor data. Validate material recommendations before acting on them.

8. Disclaimer of Warranties
THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, PROMPTKING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability
PROMPTKING'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS (CAD 100.00).
NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Nothing limits liability for fraud, death or personal injury caused by negligence, or liability that cannot be excluded under applicable law.

10. Term and Termination
10.1 Termination by You
Cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
10.2 Termination by PromptKing
We may suspend or terminate immediately if you materially breach these Terms and fail to cure within 14 days; fail to pay fees after the grace period; or create legal risk for PromptKing.
10.3 Effect of Termination
You may export your data during the 30-day retention window after termination. After 30 days, Customer data is deleted except as required for legal compliance.

11. General
11.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada. PromptKing Inc. is registered as a Ontario Business Corporation in Ontario (Corp. No. 1001622155) and these Terms constitute an agreement with that registered entity.
11.2 Dispute Resolution
Disputes are subject to 30-day good-faith negotiation, then binding arbitration in Ontario, Canada under the Arbitration Act, 1991 (Ontario). Class action waiver applies.
11.3 Amendments
Material changes communicated with 30 days written notice.
11.4 Language
